The European Commission has approved ICA Gruppen's divestment of Rimi Baltic to Salling Group

The divestment of ICA Gruppen's operations in the three Baltic countries to Danish Salling Group, which was announced on 5 March, 2025, has now been approved by all relevant authorities. The transaction can therefore be completed and is expected to be executed on 2 June, 2025.

"I’m glad that this important deal can be completed in such a relatively short time. We are proud of Rimi Baltic's strong development and our shared history of more than 28 years, and we are divesting a strong and healthy company. I am particularly proud of the Baltic organization, which over the years has been able to adapt its operations to a changing environment and always come out as a winner. It also feels good to know that Rimi Baltic will be able to continue with a new owner who has the ambition to grow internationally. In this way, this transaction will benefit both ICA Gruppen and Rimi Baltic, as well as its customers and employees," says Nina Jönsson, CEO of ICA Gruppen.

The transaction releases funds that can be allocated to develop and strengthen the core business and customer offerings in Sweden.

Rimi Baltic is divested at an enterprise valuation of EUR 1.3 billion. The divested business includes liabilities, mainly IFRS 16 lease liabilities, amounting to EUR 0.5 billion. Rimi Baltic will be reported as discontinued operations in ICA Gruppen's interim report for the first four months of 2025, which will be published on 5 June.
